Part I – Legal Notice

1. Right to Information

In compliance with Law 34/2002, of 11 July, on Information Society Services and Electronic Commerce (LSSI-CE), Regulation (EU) 2016/679 (GDPR) and Organic Law 3/2018 (LOPDGDD), this website https://orbe.app and the Orbe application, available in the Shopify App Store (jointly, the "Service"), are owned by MUSHDESK, S.L. ("Mushdesk"), with Tax Identification Number B09677048, registered office at Paseo de la Castellana, 194, 28046, Madrid, Spain, registered in the Madrid Mercantile Registry.

Access and/or use of the Service confers the status of user and implies acceptance of this Legal Notice from the moment of such access and/or use.

2. Use of the Service

The user assumes responsibility for the use of the Service. Orbe is an application integrated into the Shopify App Store and its use requires an active Shopify account at all times, as well as compliance with Shopify's terms of use.

The user undertakes to use Orbe diligently, lawfully and in accordance with its intended purpose. The following are prohibited:

Activities that are unlawful, illegal, fraudulent or contrary to good faith and public order.
Causing damage to the physical or logical systems of Mushdesk, Shopify, its suppliers or third parties.
Introducing or spreading computer viruses, malware, ransomware or any other system capable of causing damage.
Attempting to access, use or manipulate without authorisation data, configurations or systems belonging to Mushdesk, Shopify, other users or third-party providers.
Reproducing, copying, distributing, transforming, modifying or commercially exploiting Orbe without the express authorisation of Mushdesk.
Deleting, hiding or manipulating references to intellectual or industrial property rights inserted in Orbe or its content.
Using robots, spiders, crawlers, scrapers or other automated devices to monitor, copy or manipulate any part of the Service without express authorisation.

Mushdesk may temporarily suspend access to Orbe without prior notice for maintenance, updating, improvement or security reasons, endeavouring to notify the user of the expected date of suspension.

3. Intellectual and Industrial Property

All intellectual and industrial property rights over Orbe, including its website, functionalities, modules, integrations, designs, source and object code, software architecture, APIs, databases, graphical interfaces, documentation, graphic material, logos, trademarks and trade names, belong exclusively to Mushdesk, S.L. or its legitimate licensors.

Access to or use of Orbe grants the user only a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable licence for installation and use of the application within their own Shopify store in accordance with its intended purpose.

Unless prior written authorisation has been obtained from Mushdesk, the following are expressly prohibited: reproduction, decompilation, reverse engineering, disassembly, adaptation or any attempt to access Orbe's source code; using Orbe to develop competing products or services; removing, altering or hiding copyright notices, trademarks or proprietary notices.

Any improvements, developments, feedback or suggestions communicated by the user to Mushdesk shall be the exclusive property of Mushdesk, which may exploit them freely without any right to compensation.

4. Third-Party Services and Relationship with Shopify

The operation of Orbe depends on its integration with the Shopify platform. Access to and use of Orbe requires an active Shopify account and acceptance of Shopify's Terms and Conditions, available at www.shopify.com/legal/terms.

Mushdesk does not control and assumes no responsibility for the operation, availability or decisions made by Shopify in relation to its platform, APIs or App Store, which may affect the use or functionality of Orbe.

Orbe may include integrations with third-party services (including Shopify Markets, Global-e and other technology integrators), whose access and use shall be subject to the terms and conditions of such third parties. Mushdesk is not responsible for the content, availability or contractual conditions of such services.

5. Hyperlinks

Orbe and its website may include links to third-party applications, websites or services. Mushdesk assumes no responsibility for such links or for the content found therein. The inclusion of links does not imply approval, supervision, recommendation or sponsorship by Mushdesk. Users access external content under their sole responsibility.

6. Notifications

Mushdesk may send communications to users through: the email address provided in the Shopify account; notifications within the Orbe application or Shopify App Store; or publications on the official Orbe website.

Users may send communications to Mushdesk via support@orbe.app or to the registered office address indicated above.

Part II – General Terms and Conditions (B2B)

These General Terms and Conditions ("T&Cs") govern access to, use of and contracting of the Orbe application, developed and managed by MUSHDESK, S.L., in favour of business customers operating through the Shopify platform, including commercial companies, SMEs, start-ups, freelancers and technology partners (the "Customer").

These T&Cs apply exclusively to business-to-business (B2B) relationships, excluding the specific rights granted to consumers under Royal Legislative Decree 1/2007 and applicable consumer regulations.

7. Purpose and Scope

Mushdesk provides the Customer with access to and use of Orbe, a SaaS solution for geolocation and personalisation of the shopping experience, available through the Shopify App Store. Services include geolocation of end users, automatic redirection between markets and expansion stores, personalisation of language, currency and prices, configuration of welcome pop-ups and market selectors, and any other features published by Mushdesk.

8. Access and Contracting

Access to Orbe requires an active Shopify account and installation through the Shopify App Store. Installation implies express acceptance of these T&Cs.

Subscription plans (including any available plans and future offerings) are contracted directly through the Shopify App Store. Prices are expressed in USD and billed monthly or annually depending on the option chosen. All payments are managed exclusively through Shopify. Mushdesk may modify rates or plan features upon notification through the Shopify App Store.

Subscription plans automatically renew on a monthly or annual basis unless cancelled through the Shopify App Store before the renewal date. Cancellation will not result in a refund of amounts already paid, unless otherwise provided by law.

9. Licence and Use

Access to Orbe is granted under a limited, non-exclusive, revocable, non-transferable and non-sublicensable licence, for the sole purpose of integrating and using the application in the Customer's Shopify store.

The Customer may not reverse engineer, decompile, copy, distribute, sublicense or commercially exploit the Service in any way other than as intended.

Mushdesk reserves the right to suspend access to Orbe in the event of breach of these T&Cs, fraud, unauthorised access or misuse.

10. Liability and Warranties

Mushdesk guarantees that Orbe is provided in accordance with reasonable criteria of quality, availability and security. The Customer acknowledges that the use of Orbe depends on the Shopify platform and the correct configuration of their own store, and therefore Mushdesk shall not be liable for incidents arising from Shopify or third-party integrations beyond its control.

Mushdesk shall not be liable for indirect damages, loss of profits, loss of business opportunities or any other consequential damages. Mushdesk's total cumulative liability to the Customer for any cause related to these T&Cs shall be limited to the amount actually paid by the Customer through Shopify in the twelve (12) months immediately preceding the event giving rise to the claim, except in cases of wilful misconduct or gross negligence.

11. Customer Obligations

The Customer undertakes to:

Keep their Shopify account active and in good standing.
Properly configure Orbe in their Shopify store, ensuring the accuracy and updating of data and parameters entered.
Comply with their own obligations to their end users, including the duty to provide information and obtain necessary consents under GDPR and consumer regulations in relation to the use of Orbe.
Respect Mushdesk's intellectual and industrial property rights.
Pay fees corresponding to contracted plans on time through the Shopify App Store.
Not use Orbe in a way that could damage or overload the systems of Mushdesk, Shopify or third parties.

12. Data Protection

Within the framework of the provision of Orbe's services, Mushdesk may access and process certain personal data of the Customer's end users in its capacity as Data Processor, with the Customer being the Data Controller, in accordance with Regulation (EU) 2016/679 (GDPR) and applicable national regulations.

Mushdesk will only process data necessary to provide Orbe's functionalities: IP address, country of connection, browser language, display preferences, market and currency selection, and technical parameters related to redirects and pop-ups. Mushdesk does not access the content of purchases or the financial data of end customers.

The processing is governed by the Data Processing Agreement (DPA) available at orbe.app/pages/dpa, which forms an integral part of these T&Cs. Acceptance of these T&Cs implies acceptance of the DPA.

The Customer is responsible for obtaining the necessary consents and complying with information obligations towards their end users, including the correct configuration of their cookie banner and consent management system.

13. Geolocation and Cookies Disclaimer

Mushdesk, as the developer of Orbe, provides the Customer with a functional geolocation tool designed to recommend the most appropriate version of the online store to the visitor based on their approximate location, language and currency. Orbe is not a cookie management system (CMP) and does not intervene in the configuration of the Customer's cookie banner.

The Orbe geolocation model operates as follows:

One-off technical geolocation (without cookies): when accessing the store, Orbe uses minimal technical data (IP address or browser language) on a one-off, non-persistent basis, without installing cookies, without generating persistent identifiers and without tracking or profiling. This processing is based on legitimate interest (Art. 6.1.f GDPR).
Popup display: Orbe displays an informational popup in which the visitor can voluntarily accept or reject the country, language or market recommendation. Orbe never automatically redirects a visitor on their first visit.
Functional preference cookie: only when the visitor takes an explicit action in the popup does Orbe generate a functional cookie to remember that choice. This cookie has a strictly functional purpose, is not used for analytics or advertising, and is not shared with third parties. When the visitor makes this explicit choice, specific prior consent for this cookie is not required, as it is a service expressly requested by the user.

The Customer, as Data Controller, is solely responsible for defining and maintaining their own cookie and privacy policy, configuring the cookie banner on their Shopify store, and ensuring compliance with GDPR, LSSI and applicable guidelines. Mushdesk recommends that the Customer include in their cookie policy a specific reference to the use of the integrated geolocation functionality.

14. Suspension and Force Majeure

Mushdesk may suspend access to Orbe when necessary for maintenance, updates or technical repairs; in the event of detecting misuse or breach of these T&Cs; when there are risks to the security, integrity or availability of Orbe; or when required by Shopify or a competent authority. Mushdesk will endeavour to notify the Customer in advance except in cases of urgency.

Mushdesk shall not be liable for delays or interruptions arising from events beyond its reasonable control, including failures in Shopify's infrastructure, changes made by Shopify to its platform, telecommunications network failures, natural disasters or force majeure events.

15. Modifications

Mushdesk may update or modify these T&Cs at any time. Modifications will be published through the Shopify App Store or notified by electronic means. Continued use of Orbe after the changes take effect will constitute express acceptance of the changes. If the Customer does not agree, they may cancel their subscription before the effective date.

16. Confidentiality

Both parties undertake to maintain strict confidentiality regarding all information to which they have access within the framework of the contractual relationship, including technical configurations, access credentials and commercial materials. The obligation of confidentiality shall remain in force for five (5) years after termination of the contract.

17. Applicable Law and Jurisdiction

These T&Cs shall be governed by and interpreted in accordance with Spanish law. For the resolution of any dispute arising from the interpretation or execution of these T&Cs, the parties expressly submit to the jurisdiction of the Courts and Tribunals of Madrid (Spain).
